Terms of Service

1. Agreement to these terms

These Terms of Service (“Terms”) are an agreement between C & E Designs Inc. (“C & E Designs,” “WholeTier,” “we,” “us,” or “our”) and the person or entity accessing WholeTier: B2B Pricing, wholetier.com, or related services (“you”). By installing, accessing, or using WholeTier, you agree to these Terms and represent that you have authority to bind the applicable merchant or business.

2. The service

WholeTier is an embedded Shopify Admin application that helps merchants create, manage, and publish wholesale B2B pricing through supported Shopify native B2B Catalog and PriceList functionality. Features may include percentage-based rules, product and collection targeting, exclusions, overrides, rule lifecycle controls, publication status, reconciliation, billing status, and app-managed cleanup.

WholeTier works with Shopify stores using supported native B2B catalog capabilities. Available catalog features and limits depend on the merchant’s Shopify plan.

3. Pricing safety boundary

WholeTier is designed never to overwrite or modify normal Shopify Product or Variant retail prices and never to modify compare-at prices. Wholesale discounts are calculated from the normal selling price. WholeTier publishes app-managed wholesale pricing only through supported native B2B Catalog and PriceList resources.

When a rule is paused or removed, a subscription is cancelled, or the app is uninstalled, WholeTier is designed to clean up only the wholesale pricing it manages. Merchants remain responsible for reviewing rule configuration, publication status, buyer eligibility, and store results.

4. Eligibility and account responsibility

You must have a valid Shopify store, appropriate authority, and access to supported catalog capabilities. You are responsible for your Shopify account, authorized users, account security, rule choices, product data, tax and pricing obligations, and the accuracy of information you provide.

5. Subscription, trial, and cancellation

WholeTier Monthly is USD $39 per month following a 7-day free trial. You may cancel anytime through Shopify’s available app billing or subscription controls. Subscription charges are billed through Shopify and may be subject to Shopify’s billing terms and applicable taxes. Continued use after the trial authorizes recurring monthly charges until cancellation.

6. Acceptable use

You may not misuse WholeTier, interfere with its operation, attempt unauthorized access, bypass plan or usage limits, use it to violate law or third-party rights, introduce malicious code, or reverse engineer the service except where applicable law expressly permits. You may not use WholeTier to submit secrets or sensitive personal information that the service does not request.

7. Shopify and third-party services

WholeTier relies on Shopify services and supported APIs. Shopify may change its plans, APIs, features, limits, or availability. Your use of Shopify is governed by your agreement with Shopify. WholeTier is not sponsored, endorsed, or certified by Shopify, and no Shopify logo or endorsement is implied.

8. Ownership

C & E Designs Inc. and its licensors retain rights in WholeTier, including its software, website, branding, documentation, and related materials. These Terms give you a limited, non-exclusive, non-transferable right to use the service for your authorized business purposes while your subscription is active.

9. Feedback

If you provide feedback, you allow us to use it to improve WholeTier without restriction or compensation, provided we do not publicly identify you without permission.

10. Availability and changes

We may maintain, update, change, suspend, or discontinue parts of the service. We do not promise uninterrupted or error-free availability. We will use reasonable efforts to provide helpful status, warning, error, and recovery guidance where supported.

11. Disclaimer

To the maximum extent permitted by applicable law, WholeTier is provided “as is” and “as available.” We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. WholeTier does not provide legal, tax, or accounting advice, and merchants are responsible for reviewing pricing and compliance decisions.

12. Limitation of liability

To the maximum extent permitted by applicable law, C & E Designs Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising from use of the service.

13. Suspension and termination

We may suspend or terminate access when reasonably necessary for security, legal compliance, nonpayment, material breach, or protection of the service or others. You may stop using WholeTier and cancel through the available Shopify billing or app controls. Provisions that by their nature should survive termination will survive.

14. Changes to these terms

We may update these Terms as WholeTier, law, or business requirements change. The revised Terms will be posted with an updated date. Continued use after an update becomes effective constitutes acceptance where permitted by law.
